If you do not agree with these Terms, you should discontinue use of the Platform immediately.
By accessing or using the Platform, you consent to the practices described in this Terms of Use.
1.1 Professional Resource Ecosystem
IPN provides a technology-enabled ecosystem designed to support tax professionals, EROs (Electronic Return Originators), and service bureau partners. The Platform serves as a delivery vehicle for:
Technology Access: Facilitation of third-party tax software, white-label preparation platforms, and CRM/workflow automation tools.
Service Bureau Support: Onboarding systems, administrative resources, and professional development for tax office owners.
Educational Excellence: Training programs, webinars, and certification tracks via the IPN Tax Academy.
Business Operations: Operational templates, marketing guides, checklists, and office-growth strategy systems.
1.2 Authorized Users
The Platform is intended exclusively for tax professionals, business owners, students, and authorized affiliates. It is not intended for use by the general public for personal tax filing. By using this Platform, you represent that you are accessing it for professional, business, or educational purposes.
2.1 No Automatic Right to Participation
The submission of an application, payment of a fee, or completion of an onboarding request does not grant an automatic right to Platform access or Partner status. Approval is subject to a rigorous vetting process. IPN reserves the right to deny, suspend, or terminate access at our sole discretion based on:
Failure to pass background or identity verification.
Incomplete or inaccurate professional documentation (e.g., missing EFIN or PTIN).
Compliance concerns or history of professional misconduct.
Failure to meet the specific requirements of third-party software providers.
1.2 Authorized Users
Provisioning Software credentials (logins) are provided as a secondary step after full compliance approval. Payments made for "Onboarding" or "Registration" cover the administrative cost of the review and do not guarantee that the user will be granted active filing credentials by the underlying software developer or the IRS.
3.1 Accuracy of Information
You must provide current, complete, and accurate information during all phases of registration and onboarding. You are under a continuing obligation to update IPN of any change to your business status, EFIN status, or contact information.
3.2 Credential Confidentiality
Your login credentials are for your exclusive use or the use of your authorized, vetted staff. You are strictly prohibited from:
Sharing, selling, or "renting" your IPN or software credentials to outside parties.
Accessing the Platform through unauthorized scripts, bots, or automated scrapers.
Allowing unvetted third parties to view the proprietary training modules or software environments.
3.3 Unauthorized Access Notification
You are the "Security Officer" of your own account. You must notify IPN immediately at info@intellifilepn.vip if you suspect a breach of your credentials or unauthorized access to your partner dashboard.
4.1 Regulatory Compliance
As a participant in the IPN ecosystem, you acknowledge that you are operating an independent business entity. You are solely responsible for ensuring that your business practices, filings, and staff adhere to all federal, state, and local laws. This includes, but is not limited to:
Credentials: Maintaining active and valid PTIN, EFIN, and EIN registrations, as well as any required state-level preparer licenses.
IRS Due Diligence: Strict adherence to IRS Circular 230 and due diligence requirements for all tax credits (e.g., EITC, CTC, AOTC).
Data Security: Implementing and maintaining a Written Information Security Plan (WISP) as required by the FTC Safeguards Rule to protect taxpayer data.
4.2 Professional Supervision
If you utilize the Platform to manage a team or sub-offices, you assume full liability for the conduct of your staff, contractors, and affiliates. IPN provides the software environment, but you are responsible for:
Reviewing the accuracy of tax returns prepared within your account.
Securing signed Form 8879 or other required authorizations before transmission.
Ensuring your team has completed the necessary IPN Tax Academy training modules for professional competency.
4.3 Verification of Information
While IPN may provide tools for document collection and identity verification, the ultimate responsibility for verifying the identity of your clients and the accuracy of their financial claims rests solely with you.
5.1 Educational & Informational Purpose
All content provided through the Platform—including training videos, Tax Academy modules, workflow templates, marketing scripts, and software guides—is provided for educational and informational purposes only.
5.2 Non-Advisory Relationship
Your use of the Platform does not create an attorney-client, CPA-client, or fiduciary relationship between you and The Legacy Counsel Group, LLC or IntelliFile Partnered Networks.
Not Legal Advice: Business entity discussions or contract templates are not a substitute for the advice of a licensed attorney.
Not Tax Advice: Case studies and "scenario training" are illustrative; they do not constitute tax advice for a specific client or a guarantee of a specific tax outcome.
Not Financial Planning: Guidance on office growth or service bureau revenue is not a guarantee of business credit, lender approval, or investment success.
5.3 Independent Professional Judgment
You agree to exercise your own independent professional judgment when applying IPN resources to your business. We strongly recommend that you consult with your own legal counsel, professional liability insurance provider, and licensed tax experts before implementing significant changes to your business operations or filing complex tax positions.

Any testimonials, case studies, success stories, or income projections shared via the Platform, IPN webinars, or marketing materials are for illustrative purposes only. These examples represent exceptional results and are not intended to represent or guarantee that any current or future Partner will achieve the same or similar results.
6.2 Variable Factors of Success
You acknowledge that your business success depends on numerous factors outside of IPN’s control, including:
Individual Effort: Your personal work ethic, business acumen, and management skills.
Marketing & Sales: Your ability to attract, retain, and properly price services for your own clients.
Market Conditions: Local competition, economic shifts, and changes in tax law.
Regulatory Standing: Your ability to remain in good standing with the IRS, state agencies, and banking product providers.
6.3 Absolute Disclaimer of Results
IPN DOES NOT GUARANTEE:
A specific dollar amount of income or profit.
A minimum number of tax clients or refund volume.
Approval for banking products, refund transfers, or business credit.
Certification-based employment or specific career outcomes.
The overall profitability of your service bureau or tax office.
7.1 Facilitation, Not Ownership
IPN acts as a facilitator for professional tax software, CRM systems, payment processors, and e-signature platforms. You acknowledge that many of these tools are owned, operated, and maintained by third-party vendors. Your access to these tools is contingent upon:
Provider Approval: Third-party software companies and banking partners have their own independent vetting and approval processes.
Additional Terms: You may be required to sign separate "End User License Agreements" (EULA) or "Service Bureau Agreements" directly with these vendors.
7.2 Limitation of Technical Liability
While IPN strives to partner with industry-leading technology providers, we are not liable for:
System Outages: Unexpected downtime, server maintenance, or software glitches during peak tax season.
Data Loss: Errors caused by the third-party provider’s database or cloud infrastructure.
Feature Changes: Sudden updates, removals, or price increases mandated by the software developer.
Rejection of Applications: Decisions by software or banking providers to deny your EFIN or individual bank application.
7.3 Integration Disclaimer
Any "White-Label" or "Partner" dashboards provided by IPN are interfaces designed to streamline your workflow. IPN is not responsible for the underlying code, calculations, or transmission logic of the professional tax software used to file returns.
8.1 Internal Educational Credentials
IPN may offer courses, badges, and certificates through the IPN Tax Academy. You acknowledge that:
Non-Governmental: Certificates and badges issued by IPN are internal professional development credentials. They do not constitute a license to practice law, a CPA designation, or an IRS-issued credential unless expressly stated otherwise.
No Employment Guarantee: Enrollment in or completion of IPN training does not guarantee employment, independent contractor placement, or the successful acquisition of tax clients.
Software Competency: Training is designed to provide software and workflow familiarity; however, the user remains responsible for the ultimate accuracy of any tax return filed using the software.
8.2 Right to Modify Curriculum
IPN operates in a rapidly changing regulatory environment. We reserve the right to update, remove, or modify course requirements, completion standards, and certification rules at any time without prior notice to ensure materials reflect current tax laws and software updates.
8.3 Access Limitations
Access to training materials is typically granted for a specific period (e.g., the current tax season). IPN reserves the right to revoke access to the Tax Academy for non-payment, account inactivity, or violation of our intellectual property standards.
9.1 Supremacy of Signed Agreements
The Platform serves as a resource for various levels of partnership (Affiliates, EROs, Service Bureau owners). While these Terms of Use govern your use of the website and portals, they do not supersede any specific, signed contracts you have with us.
Order of Precedence: If there is a direct conflict between these Terms of Use and a signed Partner Agreement, Service Bureau Agreement, or Software Licensing Agreement, the terms of the signed agreement shall control.
9.2 Independent Contractor Status
Participation in the IPN Partner Network does not create a partnership, joint venture, or employer-employee relationship between you and The Legacy Counsel Group, LLC.
Business Autonomy: You have no authority to bind IPN or The Legacy Counsel Group to any contract or obligation.
Marketing Conduct: You agree to represent your affiliation with IPN accurately and must not imply that you are an employee, agent, or legal representative of the Company.
9.3 Performance Standards
Service Bureau and Partner participants must maintain the professional reputation of the Network. IPN reserves the right to remove any partner from the network who engages in unethical filing practices, fraudulent activity, or conduct that jeopardizes our relationships with software vendors and banking partners.
10.1 Fee Structure
Access to certain Platform features, software, and training requires the payment of fees. These may include, but are not limited to:
Onboarding & Administrative Fees: Non-refundable costs associated with background checks, EFIN verification, and account configuration.
Software Access & Licensing: Annual or seasonal fees for professional tax software environments.
Academy Tuition: Fees for certification tracks, webinars, and educational materials.
Subscription Services: Recurring monthly or annual fees for CRM access, automation tools, or ongoing partner support.
10.2 Payment Terms
All fees are due according to the schedule provided at checkout, on your invoice, or within your specific Partner Agreement.
No Contingency: Fees are not contingent upon your business performance, tax season revenue, client volume, or refund totals.
Payment Authorization: By providing a payment method, you authorize IPN to charge the designated amount. For subscriptions, you authorize recurring charges until a formal cancellation is processed.
Late Payments: Failure to pay fees on time may result in the immediate suspension of software access, portal functionality, and the withholding of any applicable service bureau rebates or incentives.
11.1 All Sales Final
Due to the nature of the services provided by IPN, all payments are generally non-refundable. This "All Sales Final" policy is necessitated by:
Immediate Digital Access: Upon purchase or enrollment, users receive immediate access to proprietary training, templates, and software environments.
Administrative Labor: Onboarding fees cover the immediate cost of identity verification, compliance review, and software provisioning work.
Intellectual Property: Educational materials and business systems are delivered digitally and cannot be "returned."
11.2 Specific Exclusions
Unless otherwise stated in a signed Partner Agreement or Refund Policy Addendum, refunds will not be issued for:
Rejection of your EFIN by the IRS or third-party banking partners.
Failure to pass IPN Tax Academy certification exams.
Inactivity or failure to use the provided software during the tax season.
Changes in your personal or business circumstances.
12.3 Monitoring & Termination
IPN reserves the right to monitor Platform activity to ensure compliance. We may suspend or terminate your access immediately, without a refund, if we detect behavior that violates these standards or threatens the security of our network.
12.1 Standards of Conduct
The IPN Platform is a professional environment. By accessing our systems, you agree to use them only for lawful purposes and in a manner that does not infringe the rights of others. You are strictly prohibited from:
System Abuse: Uploading viruses, malicious code, or attempting to "brute force" or bypass secure portals.
Credential Sharing: Providing your login details to unauthorized third parties or "sub-leasing" your software access.
Data Misuse: Accessing or attempting to access taxpayer data that is not explicitly assigned to your business entity.
Fraudulent Activity: Engaging in unethical tax preparation practices, "ghost preparing," or violating IRS due diligence standards.
12.2 Prohibited Commercial Activities
Unless expressly authorized in writing, you may not:
Resale of Access: Resell your membership, training access, or software seats.
Scraping: Use automated systems to "scrape" or download the IPN directory, database, or training library.
Misrepresentation: Falsely advertising that you are a partner or employee of The Legacy Counsel Group, LLC to solicit clients.
13.1 Ownership of Proprietary Materials
All content delivered via the Platform, including but not limited to IPN Tax Academy modules, video lessons, workflow automation scripts, tax intake templates, marketing "plug-and-play" assets, branding, and proprietary business systems, is the exclusive property of The Legacy Counsel Group, LLC.
13.2 Limited Use License
Upon payment of the required fees, IPN grants you a non-exclusive, non-transferable, revocable license to use our materials for your internal business operations. This means:
You CAN: Use our templates to onboard your own tax clients.
You CAN: Train your staff using our Tax Academy modules.
You CANNOT: Copy, modify, or rebrand IPN training materials to sell your own "Tax School" or "Service Bureau" program.
You CANNOT: Record, download, or distribute our proprietary webinars or videos to the public.
13.3 Protection of "Secret Sauce"
Our workflows, CRM automations, and "Office-in-a-Box" systems represent significant trade secrets. Any unauthorized duplication or "reverse engineering" of these systems is a violation of these Terms and will be prosecuted to the fullest extent of the law.
13.4 Trademarks
"IntelliFile," "IPN Tax Academy," and the associated logos are trademarks of The Legacy Counsel Group, LLC. You may not use these marks in your own marketing materials (e.g., as part of your company name or domain) without an express "Partner Branding Agreement."
14.1 Ownership and License
You may submit documents, business information, training assignments, and client workflow data through the Platform. While you retain ownership of your specific business data, by submitting content to IPN, you grant us a worldwide, royalty-free license to:
Service Delivery: Use, host, and store the data to provide you with support, software access, and administrative services.
Compliance Review: Review submissions for the purpose of EFIN verification, background checks, and professional auditing.
Improvement: Use de-identified, aggregated data to improve our training modules, software interfaces, and partner resources.
14.2 Accuracy and Legality
You represent and warrant that all information provided to IPN is accurate, current, and does not violate the rights of any third party. IPN is not responsible for:
Processing delays caused by incomplete or fraudulent documentation.
Rejections from software vendors or the IRS based on inaccurate data you submitted.
The loss of any data submitted through the Platform due to your failure to maintain independent backups.
15.1 IPN Proprietary Information
As an IPN Partner or Student, you will receive access to "Confidential Information" that is not available to the general public. This includes:
Operational Systems: Our specific CRM configurations, automation "recipes," and intake workflows.
Partner Economics: Proprietary pricing structures, rebate schedules, and service bureau financial models.
Academy Content: Course materials, video scripts, and "insider" tax office management strategies.
15.2 Non-Disclosure Obligations
You agree to hold all IPN Confidential Information in strict confidence. You shall not:
Direct Competition: Use IPN’s proprietary workflows to build, launch, or assist a competing service bureau or tax training network.
Public Exposure: Share "behind-the-scenes" screenshots, portal recordings, or internal manuals on social media or public forums.
Unauthorized Use: Disclose any IPN business strategies to non-vetted third parties, including competitors or other software providers.
15.3 Survival of Obligations
Your duty to protect IPN’s Confidential Information survives the termination of your account or the expiration of your Partner Agreement. Unauthorized disclosure may result in immediate termination of access, a permanent ban from the network, and the pursuit of legal remedies, including injunctive relief and monetary damages.
16.1 Consent to Electronic Delivery
By creating an account or submitting your contact information through the Platform, you agree to receive all communications, agreements, and notices from IPN electronically. These may be delivered via:
Portal Notifications: Direct messages or alerts within the IPN Partner Dashboard.
Email: Sent to the address provided during onboarding.
SMS/Text Messaging: Automated or manual messages sent to the mobile number provided.
16.2 SMS/Text Messaging Terms
By providing your phone number, you expressly consent to receive SMS communications regarding:
Account Alerts: Security codes, login confirmations, and billing reminders.
Operational Updates: Software maintenance alerts, IRS filing deadline reminders, and onboarding milestones.
Promotional Content: Exclusive partner offers, new Tax Academy course launches, and event invitations.
Note: Message and data rates may apply. You may opt out of promotional SMS by replying "STOP" at any time, though service-related alerts may continue for active accounts.
16.3 Legal Effect
Electronic communications from IPN shall be considered "in writing" and have the same legal effect as if they were delivered in paper form. It is your responsibility to maintain a current and valid email address and phone number in your account settings.
17.1 Termination by IPN
IPN reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or permanently terminate your access to the Platform for reasons including, but not limited to:
Non-Payment: Failure to pay subscription, software, or onboarding fees.
Compliance Violations: Suspected fraudulent tax activity, unethical conduct, or violation of IRS/banking partner rules.
Policy Breach: Unauthorized sharing of login credentials or violation of Intellectual Property (Section 13) or Confidentiality (Section 15).
Professional Conduct: Harassment of IPN staff or other partners, or conduct that threatens the professional reputation of the Network.
17.2 Termination by User
You may discontinue your use of the Platform at any time; however, termination does not:
Relieve you of any outstanding financial obligations or unpaid balances.
Entitle you to a refund of any non-refundable onboarding or software fees.
Cancel any existing, signed Partner or Service Bureau Agreements unless done in accordance with the specific termination clauses within those contracts.
17.3 Effect of Termination
Upon termination, your right to use the Platform and its proprietary materials ceases immediately. You must stop using any IPN-branded marketing materials, templates, or software interfaces. Any data stored within the Platform may be deleted or rendered inaccessible according to our data retention policies.
18.2 Responsibility for Backups
The Platform is a workflow tool, not a long-term document storage archive. You are responsible for maintaining independent backups of your business records, client files, and submission logs. IPN is not liable for data loss resulting from system failures or account termination.
18.1 No Guarantee of Uninterrupted Access
While IPN strives to maintain 99.9% uptime, we do not guarantee that the Platform, portals, or integrated software will be uninterrupted, timely, secure, or error-free. Availability may be limited by:
Scheduled Maintenance: Essential updates typically performed during off-peak hours.
Peak Demand: Technical strain during the height of the tax season (January through April).
Force Majeure: Events beyond our control, including vendor outages, cyber incidents, or regional internet disruptions.
19.1 Maximum Liability Cap
To the fullest extent permitted by law, IntelliFile Partnered Networks and The Legacy Counsel Group, LLC shall not be liable for any indirect, incidental, special, or consequential damages. This includes, but is not limited to, loss of profits, loss of tax clients, IRS penalties, or business interruptions.
19.2 "As-Is" Provision
The Platform and all its contents are provided on an "As-Is" and "As-Available" basis. We make no warranties, express or implied, regarding the accuracy of third-party software calculations or the success of your business venture.
20.1 User Responsibility for Third-Party Claims
You agree to defend, indemnify, and hold harmless IPN, The Legacy Counsel Group, LLC, and its officers from any claims, damages, or legal fees arising from:
Your Professional Conduct: Errors in tax returns prepared by you or your staff.
Regulatory Action: Fines or audits resulting from your failure to comply with IRS Circular 230 or EFIN requirements.
Data Breaches: Any leak of taxpayer information originating from your specific account or your team's negligence.
Misrepresentation: Claims from your clients based on your advertising or service guarantees.
21.1 Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
21.2 Arbitration & Venue
Any dispute arising from these Terms that cannot be resolved through informal negotiation shall be settled through binding arbitration or within the courts located in Georgia. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
22.1 Completeness
These Terms of Use, along with any signed Partner Agreements, constitute the entire agreement between you and IPN. If any provision is found to be unenforceable by a court, the remaining provisions shall remain in full force and effect.
23.1 Acceptance of Terms
By clicking "Accept," logging into the Platform, or submitting an onboarding payment, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use.
